Tidysite Subscription Terms
Tidysite by Dropwire Digital Pty Ltd Version: 1.0 Effective: 22 June 2026 Last updated: 22 June 2026
1. The agreement
These terms ("Subscription Terms") form a binding agreement between you ("you", "Customer") and Dropwire Digital Pty Ltd (ACN 622 001 343 | ABN 52 622 001 343) trading as Tidysite ("Tidysite", "we", "us", "our").
You enter into this agreement by ticking the "I agree to the Subscription Terms" box at signup. The tickbox event (timestamp, IP address, version of these terms) is logged. The version of these terms in force at that moment is the version that applies to your subscription, until we vary it under §17.
These Subscription Terms apply alongside our:
If there's a conflict between these Subscription Terms and any of the linked documents, these Subscription Terms win — except where the conflict is with mandatory law (see §13).
2. What we mean by some words
- Site means the Tidysite website we build and host for you.
- Subscription means your monthly Tidysite subscription billed by Stripe.
- Active subscription means a calendar month for which you have paid the subscription fee in full and your subscription is not in pause.
- Build period means the time from your first payment to the date your Site goes live (status: 'Live').
- Buyout has the meaning in §9.
- Fair use has the meaning in §6.
- Update means a content change request you make through the client portal — see §6.
3. Fees and billing
3.1 Price
The subscription fee is AUD $99 inc. GST per month (AUD $90 + GST). There is no setup fee.
3.2 First payment
You pay the first $99 at the moment you sign up. This payment starts your subscription and funds the build. Stripe will then defer your second payment by 30 days so you don't pay more than once during the build period.
3.3 Recurring billing
After the build period, you will be charged $99 inc. GST every month through Stripe on the same calendar day, until you cancel.
3.4 GST
Prices are inclusive of Australian GST. We will provide tax invoices via the client portal. For NZ customers, equivalent GST treatment applies and we will invoice in AUD.
3.5 Price changes
We can change the subscription price for new and existing customers, but we will give you at least 180 days' written notice before a price change applies to you. If you don't agree to the new price, you can cancel under §10 before the new price takes effect. If you cancel due to a price rise you will also recieve a 50% discount on the buyout of your website code.
3.6 Add-ons
Recurring add-ons (extra pages, payment buttons, additional languages, etc.) are billed monthly with your base subscription. One-off add-ons (brand tidy-up, SEO pack, etc.) are invoiced separately on the day of purchase. Add-on prices are listed on tidysite.com.au and may be revised on the same 180-day notice basis.
3.7 Failed payments
If a payment fails, we follow this workflow: Stripe Smart Retries on day 1, day 7, and day 14, then your Site moves to a branded holding page on day 21, then hard suspension and DNS disconnect on day 30. You can pay the outstanding amount at any point to reactivate, or pay the current Buyout amount under §9 to take the code with you.
4. What's included in your subscription
Your $99/month covers:
Build & launch
- Custom-designed static website, 1–3 pages
- Standard structure: Home, About/Services, Contact (or your preferred 1–3 page set agreed in the wizard)
- Mobile responsive, fast-loading
- Copywriting included
- 30-minute strategy call before onboarding
- Branded staging URL during build
Hosting & infrastructure
- VPS hosting (AU-based hosting available on request — see §4.6)
- Cloudflare CDN and SSL certificate (automatic)
- Domain connection (existing domain) or registration of a new domain in your business name and ABN, included in the price
- Backups: daily, retained per our standard rotation
Technical SEO setup (this is technical setup only — not SEO marketing or ranking work)
- Meta titles, descriptions, semantic HTML, sitemap.xml, robots.txt, schema.org local-business markup
- Google Search Console setup and verification
- Google Analytics 4 setup
- Submitted to Google for indexing
Ongoing service
- Reasonable content updates — see §6 (Fair Use)
- Update turnaround: 48 business hours typical
- Free full design refresh every 36 months of active subscription — see §7
- Email and support-ticket support, AU business hours
4.1 Revisions during build
The Subscription includes up to five (5) rounds of revisions during the initial build, initiated by you submitting structured feedback via the revision form in the client portal. We respond with the updated build within a target of three (3) business days per round.
If a revision round receives no response from you for 14 consecutive days, the build is considered complete and the Site proceeds to launch.
Once the Site is launched (status: 'Live'), the revision-round allowance ends. From that point, content changes are governed by the Fair Use Update Policy (§6).
4.2 What's not included
These are excluded from the base subscription. Some are available as add-ons:
- Phone support (email and tickets only)
- Logo design from scratch (brand tidy-up is available as a paid add-on)
- Blog or CMS functionality
- Booking engines beyond a simple calendar embed
- Ecommerce beyond simple Stripe payment buttons
- Custom integrations beyond the listed add-ons
- More than 3 pages (extra pages billed as a recurring add-on)
- SEO marketing / ranking work (separate Dropwire service)
- Google or Meta ads management (separate Dropwire service)
- Email mailbox hosting (we recommend Gmail or Microsoft 365; DNS setup is available as a one-off add-on)
4.3 Hosting location
Your Site is hosted by default on our primary VPS, Hetzner, in various global locations. You can request AU-based hosting at an additional $10/month at signup or any time after — useful if you operate in allied health, legal, or government-adjacent verticals where data residency matters.
4.4 Uptime
We target 99.5% monthly uptime for hosted Sites. Because of the price point, we do not offer SLA credits for downtime. We do publish status updates and respond to outages on a reasonable-efforts basis.
4.5 Domain
If you bring an existing domain, we connect it via DNS — we don't transfer it, and you keep full ownership at your registrar.
If we register a new domain on your behalf, it is registered in your business name and ABN (auDA rule for .com.au), and you get registrar-account access immediately. You own the domain regardless of whether you remain subscribed.
On cancellation, DNS for any domain we manage is pointed to a holding page, and after 30 days it is released back to you to repoint as you choose.
5. The strategy call and onboarding wizard
After you pay, you may book a 30-minute strategy call with us. The call is encouraged but optional — you can opt out and proceed straight to the onboarding wizard. The opt-out requires a confirmation tick.
Strategy calls are conducted via Google Meet and may be recorded. If we intend to record a call, Google Meet's built-in recording notice will appear on screen for all participants at the moment recording begins — you can ask us to stop recording at any time and we will do so. Recordings are used internally for onboarding review, service improvement, and training purposes, and are subject to our Privacy Policy.
The onboarding wizard is available immediately after payment. You can save and return as you go. We can also fill in fields on your behalf during the strategy call; those fields appear pre-populated next time you log in.
Your Site goes into the build queue once you submit the onboarding brief, and either the strategy call has happened or you have explicitly opted out.
6. Fair Use Update Policy
Subscription includes content update services, fair-use limited to an average of 30 minutes per calendar month, measured on a rolling 3-month basis. Update work in excess of fair use will be quoted at our prevailing hourly rate. We reserve the right to apply this fair-use policy at our discretion.
What's a minor update (included but not limited to):
- Text changes on existing pages
- Image swaps (you supply the images)
- Opening hours changes
- Team member additions or removals
- Contact detail changes
- Price list changes
What is not a minor update (quoted separately):
- Adding new pages
- Design or layout changes
- New integrations or functionality
- Any task requiring more than 30 minutes
How fair use works in practice:
- Quiet months bank goodwill for busier ones (rolling 3-month average).
- At 90 minutes in any rolling 3 months: we'll have a friendly conversation.
- At 150 minutes in any rolling 3 months: we'll have a formal conversation and offer an upgrade tier.
7. Design refresh
Every 36 months of active subscription, you get a full design refresh at no additional cost. This includes a fresh design aligned with current web standards and any changes to your branding you've adopted in the interim.
Paused months (see §8) do not count toward the 36-month threshold. The Buyout schedule (§9) does not reset because of a design refresh.
We will email you at month 33 to flag that your free refresh is approaching.
8. Pause subscription
You may request to pause your Subscription for a maximum of six (6) months within any rolling twelve (12) month period. During an active pause:
- No fees are charged;
- Your Site remains live;
- Paused months do not count toward the Buyout reduction schedule (§9);
- Paused months do not count toward eligibility for the free design refresh (§7).
Pauses must be requested via the client portal or in writing, and are subject to our approval. The Subscription will automatically resume billing at the end of the agreed pause period unless you cancel.
9. Buyout — taking the code with you
You can buy out your Site at any time and take the full code, assets, and a deployment guide with you.
9.1 Price
The Buyout price starts at AUD $3,000 and reduces by $85 for every month of active subscription you have completed. Paused months (§8) do not reduce the Buyout. The formula is:
Buyout price = $3,000 − ($85 × completed active months)
Reaching $0 at month 35. There is no floor and the price is not reset by a design refresh (§7).
9.2 What you receive
On Buyout, you get:
- Your Site's GitHub repository transferred to your account;
- All source code and all assets used in your Site;
- A 1-page deployment guide for Digital Ocean, Hostinger, Binary Lane;
- Full code copyright assigned to you (see §11.3).
9.3 What you don't receive
- Third-party software licences embedded in or used to build the Site (e.g. premium fonts) — you may need to license these separately if you want to keep using them;
- Stock photos under our licence — you'll need to relicense them in your own name to keep using them;
- Continued use of any Tidysite-branded staging URL or our
dropwire.digitalsubdomains; - Continued hosting on our infrastructure (you can keep paying for hosting via continued subscription, or move it).
9.4 Process
- You email Buyout request to [email protected] or click "Buy out my Site" in the portal.
- We confirm the current Buyout price and send a tax invoice.
- You pay.
- Within 7 business days, we transfer the GitHub repository, deliver the deployment guide, and execute the copyright assignment (see §11.3).
- Your Subscription ends on the date of handover, unless you've also asked us to keep hosting on a paid basis.
10. Cancellation
10.1 How to cancel
You can self-cancel at any time via the Stripe Customer Portal linked from your client portal. We honour the Australian Consumer Law requirement that cancelling is at least as easy as signing up.
You can also cancel by emailing [email protected] — we'll process the cancellation within one business day.
10.2 Notice
Cancellation takes effect at the end of your current paid month. You can keep using the Site through that period.
10.3 No pro-rata refunds
We do not provide pro-rata refunds for partial months. You can use the Site through the end of the period you've paid for.
This clause does not exclude any refund or remedy you are entitled to under the Australian Consumer Law or the Consumer Guarantees Act 1993 (NZ) — see §13.
You have a 30 day cooling off period where within that time you can cacell for a full refund of your initial payment if your have NOT yet started the build process. After that time, the initial payment is non-refundable. If we have started the build process this is non-refundable (see §10.4).
10.4 Initial build payment
Once your Site is in build (defined as more than 10 hours of build work invested), the initial $99 payment is non-refundable except where required by §13.
10.5 What happens to your Site after cancellation
| Day after cancellation | What happens |
|---|---|
| 0–30 | Site moves to a branded holding page ("This site is temporarily unavailable"). DNS still points to us. You can reactivate or buy out at any point. |
| 30 | DNS released back to you. Site is no longer publicly accessible at our infrastructure. |
| 90 | Customer site files (code, content) are deleted from active systems (subject to backup-rotation cycle). |
If you want your content (copy, images, your logo) back at cancellation, ask us — we'll provide a portable export at no charge. The code itself stays with us unless you exercise the Buyout (§9).
10.6 Failed-payment workflow (re-stated for clarity)
| Day | Action |
|---|---|
| Day 1 | Stripe Smart Retries begin. Automated email. |
| Day 7 | Second retry. Follow-up email. |
| Day 14 | Third retry. Follow-up email. |
| Day 21 | Site moves to holding page. |
| Day 30 | Hard suspension. DNS disconnected. Cancellation processed. |
You can pay the outstanding amount at any point to reactivate, or pay the current Buyout (§9) to take the code with you.
11. Code and intellectual property
11.1 Things you own throughout
You own:
- Your business content — the text, images, logo, and any other materials you give us to put on the Site;
- Your business data — anything you collect through the Site (e.g. enquiry-form submissions);
- Your domain name(s).
You grant us the licences we need to put your content on your Site, host it, back it up, and operate it for you while you're subscribed.
11.2 Things we own while you're subscribed
We own:
- The source code of your Site;
- The site's templates, design system, and reusable components;
- Any tools, scripts, or infrastructure we use to build, deploy, and update the Site;
- The Tidysite name, logo, and brand assets.
11.3 What changes on Buyout
When you exercise the Buyout (§9) and pay the Buyout price, we assign to you all of our copyright in the source code of your Site as built and delivered to you on the date of handover. The assignment is in writing and signed in accordance with section 196 of the Copyright Act 1968 (Cth) — the buyout invoice and our handover email together constitute the written assignment.
The assignment does not include:
- Reusable templates, design systems, or components in their generic form (we keep using these for other customers);
- Third-party software, licences, or stock assets used in your Site (see §9.3);
- The Tidysite name or brand.
11.4 What happens if you cancel without a Buyout
Your Site goes offline per §10.5. The code stays with us. We may continue to use the generic, reusable components and template patterns that informed your Site for other customers — but we will not redeploy the same assembled Site, with your content removed or otherwise, for anyone else.
11.5 Indemnity for content you supply
You confirm you have the rights to give us the content you supply for your Site, and you indemnify us against any third-party claim that the content you supply infringes their copyright, trade mark, or other intellectual property rights. (This is a normal SMB-website indemnity — most disputes here are about logos that turn out not to be trade-marked properly. If you're unsure about a piece of content, ask us before we put it live.)
12. Your obligations
You agree to:
- Provide accurate content and reasonably timely feedback during build and updates;
- Provide DNS access for any existing domain you bring;
- Not use the Site for content or activity prohibited by our Acceptable Use Policy;
- Pay on time;
- Keep your contact details in the client portal up to date.
We may suspend the Site under §16 if you breach these obligations and don't fix the breach after we've asked you to.
13. Consumer guarantees (ACL and NZ CGA)
If you are a consumer or a small business buying under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), our services come with non-excludable consumer guarantees — including that the services will be:
- provided with due care and skill;
- fit for any particular purpose you've made known to us;
- supplied within a reasonable time.
For New Zealand customers, the Consumer Guarantees Act 1993 and Fair Trading Act 1986 apply equivalent guarantees.
Nothing in these Subscription Terms excludes, restricts, or modifies these consumer guarantees. Where the law allows us to limit our liability for breach of a guarantee, we limit it to (at our option):
- supplying the services again, or
- paying the cost of having the services supplied again.
For "major failures" as defined in the relevant legislation, you have the additional rights set out in the legislation — including the right to cancel and obtain a refund. Nothing in §10 displaces those rights.
14. Liability
14.1 What we are responsible for
Subject to §13, our total liability to you for any claim arising out of or in connection with these Subscription Terms (whether in contract, tort, statute, or otherwise) is limited to the total fees you have paid us in the three months immediately before the event giving rise to the claim.
14.2 What we are not responsible for
To the extent permitted by law, we are not liable for:
- Indirect or consequential losses, lost profits, lost business, lost revenue, or lost data;
- Outages or failures of third-party services we depend on (e.g. Stripe, Cloudflare, Hetzner, AWS, Google, cal.com);
- Lost leads or sales while your Site is offline due to a payment failure (§10.6) or breach of the AUP (§16);
- Search engine ranking changes or losses (we do technical SEO setup, not ranking work — see §4).
14.3 We strongly recommend you don't rely on Tidysite as your only lead source
A custom-built marketing website is one part of how you bring in business — it's not the only part. We are not responsible for, and you should not rely on, your Tidysite as your sole source of customer enquiries.
14.4 Carve-outs
The limitations in §14.1 and §14.2 do not apply to:
- Our liability for personal injury or death caused by our negligence;
- Our liability for fraud or wilful misconduct;
- Any liability under §13 (consumer guarantees) that cannot be limited by agreement.
15. Communications
15.1 Service and account emails
We send service emails (welcome, billing, payment failure, design refresh notice, support replies) to the email address on your account. You cannot opt out of these while you remain a customer.
15.2 Marketing emails
We may send marketing emails about Tidysite and related Dropwire services. Every marketing email includes a one-click unsubscribe in compliance with the Spam Act 2003 (Cth) and the Unsolicited Electronic Messages Act 2007 (NZ).
15.3 Where service emails come from
Service and marketing emails are sent via Amazon SES from tidysite.com.au and dropwire.digital domains.
16. Suspension for breach
We may suspend your Site or your access to the client portal if:
- You haven't paid (per §10.6 workflow);
- You're using the Site for content or activity prohibited by the AUP;
- A third party (e.g. our hosting provider, a court, a regulator) requires us to.
Where we can give you notice and an opportunity to fix the issue, we will. Where the issue is urgent (e.g. malware, illegal content, a court order), we may act first and notify you immediately afterwards.
17. Variation
We may vary these Subscription Terms by giving you at least 30 days' written notice (email to your account address is sufficient). The new version applies to your Subscription from the effective date in the notice.
If you don't accept the variation, you can cancel under §10 before the effective date with no penalty (other than completing any current paid month).
We won't use this clause to retrospectively change Buyout terms or pricing for periods you've already paid for.
18. Disputes and jurisdiction
If you have a complaint, please tell us first — email [email protected]. Most issues are quickest to resolve directly.
If we can't resolve it directly, we agree to attempt mediation through a recognised mediation body in South Australia before either of us starts court proceedings (other than urgent injunctive relief).
These Subscription Terms are governed by the laws of South Australia. The courts of that State (and the federal courts sitting in it) have exclusive jurisdiction, except that NZ-resident Customers may bring proceedings in their local court if mandated by NZ consumer law.
19. General
- Assignment. You can't transfer this agreement to anyone else without our consent. We can transfer it to a successor or affiliate of Dropwire Digital Pty Ltd if we restructure or sell the business.
- Notices. Notices to you go to the email on your account. Notices to us go to [email protected].
- Entire agreement. These Subscription Terms, plus the linked policies, are the whole agreement between us about your Subscription. They replace any earlier discussion or representation about the same subject.
- Severability. If any clause is found unenforceable, the rest remains in force.
- Survival. Clauses that by their nature are intended to survive termination (including §11 IP, §13 consumer guarantees, §14 liability, §18 disputes) survive termination.
